QCDT is the on-chain representation of the QCD Money Market Fund — a collaboration between leading financial institutions and DMZ Finance to bring regulated money market exposure onto blockchain rails.

This initiative brings together:

* Capricorn Fund Managers (DIFC) Limited as the Fund Manager

Together, these entities enable secure, efficient, and compliant access to traditional money market instruments via a fully tokenized structure.

## What QCDT Offers

QCDT provides tokenized exposure to a diversified portfolio of high-quality, short-duration assets, including:

* U.S. Treasury Bills and Bonds
* Certificates of Deposit (CDs)
* Money Market Instruments
* Short-term deposits with approved financial institutions

These assets are professionally managed and made available to investors on-chain through a tokenized subscription and redemption portal. The result is a capital-efficient, transparent, and regulatory-compliant way to access traditional yield-bearing products within a digital environment.

## Seamless Subscription and Redemption Process

Investor liquidity and operational efficiency are central to QCDT’s design.

We have partnered with Standard Chartered Bank Dubai International Financial Centre Branch to facilitate seamless subscription and redemption processes.

## Transparency and Security

QCDT is designed to offer institutional-grade transparency:

* Daily NAV Reporting: Token price is updated every business day, based on NAV reports from the Fund Administrator
* Upfront Fee Disclosure: All fees — including service, custodian, and redemption fees — are published transparently
* Smart Contract Audit: The QCDT token (ERC-20) has been externally audited and is verifiable on Etherscan

The fund is managed by Qatar National Bank (Singapore), whose fixed-income team brings a strong track record in liquidity management and risk-adjusted return generation.


# 🪪 Investor Onboarding

## Investor Onboarding

QCDT is only accessible to Institutions outside the United States, subject to eligibility restrictions and an initial US$500,000 minimum investment. QCDT can be obtained by qualified investors who are onboarded to the QCD Money Market Fund.

## Onboarding Process

The onboarding steps are as follows:

**1. Submission of Forms and Documents**

Investors submit KYC documents along with the completed onboarding forms (which includes the Fund Subscription Agreement) to the Fund Administrator.

The Fund Administrator concurrently reviews and processes KYC/AML checks and the onboarding documentation.

**2. Onboarding Confirmation**

After successful completion of the compliance review and approval of onboarding documents, investors receive official confirmation of successful onboarding.

**3. Initial Funding**

Once onboarding is confirmed, investors transfer the initial subscription amount (in USD or USDC\*, per their preference) to the fund’s designated account as specified.

**4. Investor Portal Access**

After funding their investment, investors will receive access to Investor Portal that will allow them to mint QCDT.

# 🔁 Subscription & Redemption

Once investors are onboarded, they may subscribe to the fund and receive QCDT tokens representing their fund shares. The subscription process is as follows:

### Minting QCDT (Subscription)

Subscription Agreement Form to be submitted to the Fund Administrator first. Once it is approved, to follow the steps below.

**Step 1: Transfer Subscription Funds**

* Investors transfer their subscription amount in either USD (via bank wire) or USDC\* (via on-chain wallet) to the fund’s designated account.
* If using fiat USD, funds must be wired to the Fund Capital Account held at Standard Chartered Bank (DIFC).
* If using digital assets USDC\*, funds must be sent to the designated fund wallet on-chain.

**⏰ Cut-Off Time:**\
For subscription to be processed on the next dealing day, subscription funds must be received by 1:30 PM (GMT+4) on T-1, i.e., two business days prior to the intended dealing day (T+1).

**Step 2: Allocation of Fund Shares (T+1)**

* On dealing day (T+1), the Fund Administrator calculates the number of fund shares to allocate based on the NAV released on T+0.
* Shares are officially allocated by 3:00 PM (GMT+4) T+1 and made available for tokenization (minting) through the DMZ Investor Portal.

**Step 3: Access Investor Portal**

* Investors log in to the DMZ Investor Portal to view their fund share allocation and initiate minting of QCDT
* Wallet connection is not required for minting, as each investor is assigned a unique wallet address (displayed under “My Wallet”).

**Step 4: Mint QCDT Tokens**

* Within the portal, investors select “Mint QCDT” and submit the mint request.
* Note: Investors must mint the entire number of QCDT tokens corresponding to their allocated fund shares in a single request.

**Step 5: Receive QCDT**

* The Fund Administrator verifies and approves the minting request.
* QCDT tokens are minted on-chain and delivered to the investor’s assigned wallet address (shown under “My Wallet”).
* A confirmation is sent via email and shown on the portal once tokens are issued.

**Step 6: QCDT Withdrawal**

* Investors may request to withdraw QCDT tokens from their assigned wallet to another whitelisted wallet (e.g., their own private wallet).
* All withdrawals are subject to Fund Administrator approval.

### Burning QCDT (Redemption)

Investors may redeem their QCDT tokens to receive the equivalent value in USD or USDC\* by submitted a Redemption Form to the Fund Administrator. Once it is approved, to follow the steps below.

**Step 1: Log In and Access "My Wallet"**

* Investors log in to the DMZ Investor Portal and navigate to the “My Wallet” section.

**Step 2: Submit Redemption Request**

* Investors select “Burn QCDT” and enter the number of tokens they wish to redeem.
* Only QCDT tokens held in the investor’s assigned wallet ("My Wallet") are eligible for redemption. If tokens are held in another wallet, they must be transferred back to the assigned wallet before submitting a redemption request.

**⏰ Cut-Off Time:**\
Redemption requests must be submitted by 1:30 PM (GMT+4) on T-1 to be processed on the following dealing day (T+1).

&#x20;**Step 3: Review by Fund Administrator (T+0)**

* The Fund Administrator reviews and verifies the redemption request.
* Redemption proceeds are calculated based on the NAV published on T+0.

**Step 4: Settlement and Burn (T+1)**

* On the dealing day (T+1), QCDT tokens are burned on-chain and removed from circulation.

The corresponding redemption proceeds are remitted to the investor as follows:

* In USD, funds are sent via wire transfer to the investor’s designated bank account.
* In USDC\*, funds are sent to the investor’s whitelisted wallet address.

Note: The timing of when the investor actually receives the funds may vary depending on bank processing times or blockchain network conditions.

**Step 5: Receive Confirmation**

* Investors receive a confirmation email once the redemption is complete.
* The redeemed token amount and transaction will be reflected in the portal’s transaction history.

# 📊 Subscription and Redemption Workflow

## Subscription Workflow

Once an investor is fully onboarded, their wallet address is added to the QCDT Allowlist, granting permission to hold and interact with QCDT tokens. Subscriptions into the QCD Money Market Fund can be made either via fiat (USD) or stablecoin (USDC), depending on investor preference. Fiat transfers are wired to the Fund Capital Account held with Standard Chartered Bank Dubai International Financial Centre Branch, while stablecoin subscriptions are sent directly to a designated on-chain wallet.

Upon receipt of funds, the Fund Administrator confirms the subscription and calculates the number of fund shares to be allocated based on the prevailing Net Asset Value (NAV). The Administrator then records the subscription details in the DMZ Finance platform, ensuring that the correct number of fund shares is attributed to the investor’s account.

Investors may then initiate a request to mint QCDT tokens that represent their allocated fund shares. This request is submitted through the DMZ Portal and is subject to review by both the Administrator and the Tokenization Service Provider. Once approved, QCDT tokens are minted and issued directly to the investor’s whitelisted ERC-20 wallet, enabling them to hold and deploy tokenized exposure to regulated money market instruments on-chain.

## Redemption Workflow

QCDT tokens held in Allowlisted wallets can be redeemed at any time. Investors initiate the redemption process by submitting a burn request via the DMZ Portal, specifying the amount of QCDT to redeem.

Following submission, the Administrator and Tokenization Service Provider jointly review and approve the request. Redemption values are determined based on the NAV calculated.&#x20;

Once the request is approved, the QCDT tokens are burned. The redemption value is then calculated based on the Net Asset Value (NAV) published and the corresponding redemption proceeds are transferred to the investor’s designated bank account (for fiat) or crypto wallet (for stablecoins).


# 🔐 On-Chain Governance & Security

QCDT’s smart contract ecosystem is built on Ethereum and tailored for real-world asset tokenization. The governance framework enforces strict controls to comply with regulations and protect investors. Key aspects of on-chain governance and security include multi-signature controls, wallet whitelisting, compliance enforcement features, and emergency safeguards.

## Access Control and Governance

**Multi-Signature Authorization**\
Critical smart contract functions—such as minting (token issuance) and burning (token redemption)—require coordinated approval.

Prior to any minting or burning of tokens, the token holder is required to initiate this request on the platform and receive approval from the fund administrator. This ensures that token issuance cannot proceed without direct investor authorization and validation.

## Wallet Whitelisting & KYC Enforcement

**Authorized Wallets Only** \
QCDT employs strict wallet whitelisting. Only wallets that have successfully completed KYC verification and been approved are allowed to hold or transact QCDT tokens. The smart contract is programmed to reject transfers of QCDT to or from any address not on this authorized list.<br>

**Continuous Monitoring**\
All whitelisted wallets are subject to ongoing monitoring for compliance purposes. DMZ Finance integrates blockchain analytics tools to observe all QCDT-related wallet activity in real time. If a previously approved wallet later exhibits suspicious behavior – such as transacting with blacklisted addresses, showing abnormal transaction patterns, or being flagged for sanctions – the system will raise an alert

## Compliance Enforcement & Emergency Tools

The QCDT token architecture also includes compliance features to support regulatory enforcement and risk mitigation.

**Forced Transfer Capability**\
In cases where legal or regulatory action is required, the Tokenization Service Provider can execute forced transfers between whitelisted wallets. This ensures QCDT remains compliant with obligations such as sanctions enforcement or court orders, while preserving system integrity.

**System Halt Function**\
To address potential threats or suspicious activity, DMZ Finance may temporarily halt token transactions across the Allowlist. During a halt, all transfers are paused until the issue is reviewed and resolved. Normal wallet activity resumes once the system is deemed secure.


# 🧱 Product Structuring

QCDT is issued by QCD OPEN-ENDED PCC Limited, a protected cell company incorporated with limited liability in the Dubai International Financial Centre (DIFC). The company operates as an open-ended investment company and serves as the legal issuer of the QCD Money Market Fund.

The Fund Manager, Capricorn Fund Managers (DIFC) Limited, was granted a financial services licence on 23 September 2024 (Licence No. F008633) and is regulated by the Dubai Financial Services Authority (DFSA) as an Authorised Firm, holding a Category 3C prudential licence under DFSA rules.

Each QCDT token represents a share in the underlying fund. As such, token ownership is restricted to onboarded investors who have completed KYC/AML procedures with QCD OPEN-ENDED PCC Limited. The fund administrator maintains a formal share registry that records QCDT token issuance and transfers, ensuring alignment between the on-chain token supply and the off-chain fund share register.


# 📈 Token Price

**Initial Token Price**

The token price will be issued at USD $1.00 per token for subscribers on the initial dealing date.

Thereafter, tokens will be issued at the prevailing NAV per token on each relevant dealing date.
